Terms of Service

Last updated:

Please read these Terms carefully. They explain your rights and responsibilities when using ClipVault, including what you may clip, how third-party embeds work and how Pro subscriptions renew and cancel.

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and ClipVault LLC ("we", "us") and govern your use of ClipVault (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm that you are authorized to bind it to these Terms.

2. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. Accounts are created and secured through our authentication provider, Clerk.

You are responsible for activity on your account and for keeping your sign-in methods secure. Tell us promptly at clipvault162@gmail.com if you suspect unauthorized access.

3. What the Service does

ClipVault lets you save links to online videos, posts and articles, together with metadata, time ranges, notes, tags and collections. We do not download, copy or re-host third-party videos or media. We store links and limited metadata, and show content through the official embeds provided by the platforms that host it.

4. Your responsibilities for submitted URLs

When you submit a URL, you confirm that:

  • you are allowed to access the content at that URL;
  • the URL does not point to unlawful content, including material that infringes intellectual property, exploits minors, promotes violence or harassment, or breaches privacy laws;
  • you will not submit URLs meant to probe, overload or attack any website or network, including private, internal or non-public addresses;
  • you will not use the Service to scrape or systematically copy third-party websites.

We automatically fetch publicly available information about URLs you submit. We may refuse to process any URL, and may remove saved clips that break these Terms or that we are legally required to remove.

5. Third-party content and embedding rights

Videos, posts, articles, thumbnails and other material you clip belong to their respective owners. Saving a clip does not give you or us any ownership of, or license to, that content beyond what its owner and hosting platform allow.

  • Embedded players and posts are provided by third parties (for example, YouTube and X) and are subject to their own terms of service and privacy policies.
  • Content owners or platforms may remove content, disable embedding or restrict availability at any time. If that happens, the related clip may stop playing or displaying, and we are not responsible for that.
  • You are responsible for how you use third-party content outside the Service, including anything you copy into exports.

Copyright complaints: if you believe material accessible through the Service infringes your copyright, send a notice to clipvault162@gmail.com that identifies the work, the location of the material, your contact details, and a statement made in good faith and under penalty of perjury that you are the owner or are authorized to act for the owner. We will respond to valid notices and may terminate the accounts of repeat infringers.

6. Your content

You keep ownership of the notes, tags, collection names and other content you create ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, display and export Your Content only as needed to operate and improve the Service for you. This license ends when you delete Your Content or your account, except for copies in backups that are deleted on their normal schedule.

7. Acceptable use

You agree not to:

  • break any law or third-party right while using the Service;
  • get around plan limits, paywalls, rate limits or security measures;
  • reverse engineer the Service except where the law allows it;
  • use automated means to create accounts or submit content in bulk without our written permission;
  • resell or sublicense the Service without our written permission.

8. Plans, billing and automatic renewal

Free plan

The Free plan currently includes up to 10 new clips per calendar month (UTC), full details on your 10 most recent clips, and 1 collection. Free plan limits may change; we will give reasonable notice of material reductions.

Pro subscription

  • Pro is a recurring monthly subscription. By subscribing, you authorize us, through Stripe, to charge your payment method at the start of each billing period.
  • Your subscription renews automatically every month at the then-current price until you cancel. The price, billing period and renewal date are shown at checkout and in your billing portal.
  • Prices exclude applicable taxes unless stated otherwise. Taxes are calculated and collected where required.
  • We may change the Pro price for future billing periods. We will notify you at least 30 days before a price increase applies to you, and you can cancel before it takes effect.
  • If a renewal payment fails, Stripe will retry the charge and we may keep your Pro access for a short grace period. If payment is still not received, your account returns to the Free plan. Your clips stay saved, but Free plan limits apply.

9. Cancellation and refunds

  • You can cancel at any time from the billing portal (Dashboard → Manage subscription). Cancellation takes effect at the end of your current billing period, and you keep Pro access until then.
  • Except where required by law, payments are non-refundable and we do not give refunds or credits for partial billing periods or unused features.
  • If you delete your account, any active subscription is canceled immediately, Pro access ends straight away, and the remainder of the current period is not refunded.

Consumers in the EU, UK and other regions may have statutory rights, including a right to withdraw from a digital-service contract within 14 days. Nothing in these Terms limits rights you have under mandatory consumer protection law. To exercise a statutory right, contact clipvault162@gmail.com.

10. Service availability and changes

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. The Service may be unavailable during maintenance, updates, outages or events outside our reasonable control.

The Service depends on third parties, including Clerk, Stripe, our hosting and database providers, YouTube, X and the websites you clip. Their outages, policy changes or API changes may affect features such as metadata retrieval or embeds. We may add, change or remove features. If we discontinue the Service, we will give paid subscribers reasonable notice and a prorated refund of any prepaid, unused period.

11. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will notify you first and give you a chance to fix the problem. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability and governing law) will survive.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy. We do not warrant the accuracy of metadata, excerpts or summaries retrieved from third-party sources.

13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to your use of the Service.

Our total liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) USD 50.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms excludes liability that cannot be excluded by law, such as liability for fraud or for death or personal injury caused by negligence.

14. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless from third-party claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, the URLs you submit, or Your Content.

15. Governing law and disputes

These Terms are governed by the laws of the State of Vermont, United States, without regard to conflict-of-law rules. Disputes will be resolved in the courts of competent jurisdiction in the State of Vermont, United States, unless mandatory law where you live gives you the right to bring proceedings in your local courts. Before filing a claim, please contact us at clipvault162@gmail.com so we can try to resolve the issue informally.

16. Changes to these terms

We may update these Terms from time to time. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. If you keep using the Service after changes take effect, you accept the updated Terms. If you do not agree, you can cancel and stop using the Service.
